Flagship engagement — E·01 · Riyadh 24.71°N / 46.67°E
Saudi Market Entry, sequenced end to end.
One accountable programme from intent to operating entity: legal enablement, financial structure, connections, and execution — in the right order, with the paperwork, tax posture, and relationships each step depends on.
Built for
- Foreign corporates establishing a Saudi entity or RHQ
- Merchants converting export sales into an in-Kingdom presence
- Family offices structuring a first direct Saudi position
- Founders and SMEs entering with a licensed, bankable setup
The problem
Saudi entry rarely fails on ambition. It fails on sequence: a license filed before the structure is settled, a partner signed before the contract logic exists, a bank account requested before the documents are attested. Each mistake costs weeks and standing. The engagement exists so every step lands in order — and nothing is filed twice.
Seven artifacts. Zero folklore.
Every deliverable is written, dated, and specific to your activity — built to be defended in your boardroom and executed in Riyadh.
Entry thesis memo
Your opportunity, honestly framed: demand signals, competitive posture, regulatory exposure, and the go / no-go logic.
Licensing pathway map
The exact license class, issuing authority, prerequisites, and attestation chain for your activity — sequenced with dates.
Entity & tax structure recommendation
LLC, branch, or JSC; shareholding and capital plan; CIT / zakat / VAT posture — prepared with licensed tax counsel.
90-day execution plan
Registrations, filings, premises, banking, and hiring pathways as a dated schedule with owners and dependencies.
Regulatory calendar
Renewals, filings, Saudization checkpoints, and tax deadlines for your first operating year — before they surprise you.
Banking readiness checklist
The document set, signatory logic, and account-opening sequence Saudi banks actually ask for.
Stakeholder map
The authorities, partners, advisors, and gatekeepers relevant to your entry — who decides what, and when you meet them.
Four phases, milestone-gated.
Each phase closes with a written deliverable you approve before the next begins. Typical duration for a documentation-ready investor; activity and approvals set the true pace.
Diagnostic
Objectives, activity classification, document audit, regulatory exposure. Closes with the entry thesis memo and a confirmed licensing pathway.
Structure
Entity form, shareholding, capital plan, tax and zakat posture with licensed specialists. Closes with the structure recommendation and attestation underway.
Establish
License issuance, commercial registration, municipal and sector approvals, premises, and bank account opening. Closes with an operating entity.
Operate
Compliance calendar in force, first hires and Saudization pathway, reporting cadence, and introductions that matter now that you exist.
The numbers boards ask about.
Current headline positions foreign investors most often need on day one — stated plainly, confirmed precisely during your diagnostic.
| Foreign ownership | 100% foreign ownership available in most activities under a MISA investment license; a minority of activities remain restricted or conditioned. |
|---|---|
| Corporate income tax | 20% on the non-GCC-owned share of profits; zakat at approximately 2.5% applies on the Saudi/GCC-owned share basis. |
| VAT | 15% standard rate on most goods and services; registration thresholds and sector treatments apply. |
| RHQ programme | Long-term incentive package for qualifying regional headquarters, including announced relief such as 0% corporate income tax for the RHQ entity, plus government-contracting access rules. |
| Saudization (Nitaqat) | Workforce nationalisation quotas vary by sector, size, and activity — planned into hiring from day one, not retrofitted. |
| Entity forms | Limited liability company (most common), foreign branch, and joint-stock company — each with distinct capital, governance, and licensing implications. |
Indicative positions for orientation only, current to the best of our knowledge — not legal or tax advice. Your figures are confirmed with licensed specialists during the diagnostic phase.
Can foreign investors own 100% of a Saudi company?
In most activities, yes — full foreign ownership is available under a MISA investment license. A minority of activities remain restricted or carry conditions such as minimum capital or Saudi participation. Confirming where your specific activity sits is the first task of the diagnostic phase.
How long does Saudi company formation take?
For a documentation-ready investor, typically four to twelve weeks from engagement to an operating entity, depending on activity and approvals. Document attestation in your home country is usually the longest single item — which is why we sequence it first.
What taxes apply to a foreign-owned Saudi entity?
Indicatively: corporate income tax of 20% on the non-GCC-owned share of profits; zakat at roughly 2.5% on the Saudi/GCC-owned share basis; VAT at 15%; and withholding tax on certain cross-border payments. Exact treatment depends on structure and is confirmed with licensed tax advisors during structuring.
Do I need a local Saudi partner?
Legally, in most activities, no — full foreign ownership removes the old default. Commercially, a distributor or local partner can still accelerate certain models. We treat it as a commercial decision to be structured deliberately, not a legal reflex.
What is the RHQ programme, and does it apply to us?
The Regional Headquarters programme grants qualifying entities a long-term incentive package — including announced relief such as 0% corporate income tax for the RHQ entity — alongside preferential access rules for government contracting. Whether it fits depends on your regional footprint and operating model; we assess it inside the entry thesis.
